These Terms and Conditions of Service ("Terms") govern your access to and use of the services provided by MW Studios Inc ("MW Studios," "we," "us," or "our"). By accessing or using our website www.miracleworkstudios.ca (the "Site") or engaging with our services, you agree to be bound by these Terms. MW Studios provides branding and design services to clients ("Services"). Our Services may include logo design, brand identity development, website design, and other creative services as agreed upon with clients.

 

3. Client Responsibilities

Clients are responsible for providing accurate and complete information necessary for the provision of Services. Clients must also adhere to project timelines and deliverables outlined in project agreements.

 

4. Fees and Payment

Clients agree to pay fees for Services as outlined in project agreements or invoices provided by MW Studios. Payment terms and methods will be specified in project agreements or invoices.

 

5. Intellectual Property

MW Studios retains ownership of all intellectual property rights in materials created as part of the Services, including but not limited to designs, logos, and creative assets. Upon full payment for Services, clients are granted a non-exclusive license to use the deliverables for their intended purposes.

 

6. Confidentiality

MW Studios agrees to keep client information confidential and to use it solely to provide Services. Clients agree to maintain the confidentiality of any proprietary or confidential information shared by MW Studios.

 

7. Limitation of Liability

MW Studios shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or related to the provision of Services. In no event shall MW Studios' total liability exceed the total fees paid by the client for the Services.

8. Indemnification

Clients agree to indemnify and hold MW Studios harmless from any claims, damages, losses, or liabilities arising out of or related to the client's use of the Services or any breach of these Terms.

 

9. Termination

MW Studios may terminate or suspend access to Services at any time for violation of these Terms or any other reason. Clients may terminate Services by providing written notice and settling any outstanding fees.

10. Changes to Terms

MW Studios reserves the right to update or modify these Terms at any time without prior notice. Clients are responsible for reviewing these Terms periodically for any changes.
